NSE IPO: Strong Franchise, But Derivatives Dependence Remains A Key Risk

The initial public offering (IPO) of the National Stock Exchange (NSE) has brought one of India's most powerful financial-market institutions to the primary market. The issue opened for subscription on September 17, 2026 and will close on September 21. While strong grey market trends have added to investor interest, the more important question is whether NSE’s exceptional financial performance can be sustained amid regulatory changes and changing traders preferences. 

Here are key strengths and weaknesses that investors should consider before applying for the IPO.

Dominant Market Position

NSE's biggest strength is its scale. In FY26, it accounted for 51.18 per cent of global equity derivatives contracts and 92.99 per cent of Indian cash-market turnover. This dominant position provides significant competitive advantages and creates a strong network effect, with liquidity attracting more participants, in turn, reinforcing liquidity.

Its financial profile is equally impressive. Normalised operating earnings before interest, tax, depreciation and amortisation (Ebitda) margin stood at 76.20 per cent in FY26 and increased to 77.80 per cent in Q1FY27. The exchange has no borrowings, giving it a strong balance sheet and considerable financial flexibility. Its cash-generation capability is clearly visible in the Rs 35 per share dividend paid in FY26. 

High Dependence On Derivatives

The flip side of NSE's dominance is its dependence on trading activity, particularly options. Transaction charges accounted for 79.40 per cent of Q1FY27 revenue, while equity options contributed 60.20 per cent. This makes the exchange particularly sensitive to changes in trading volumes, investor behaviour, and regulatory intervention.

The impact was visible in FY26. Options premium turnover declined 7.70 per cent, although NSE managed to limit the decline in options revenue to 1.90 per cent through a 6.20 per cent improvement in realisation. However, with pricing increasingly regulated, the ability to offset weaker volumes through higher realisation may be limited.

The 50 per cent increase in securities transaction tax (STT) on option premiums from April 2026 adds another challenge. In Q1FY27, options premium turnover declined 15.70 per cent sequentially, while overall revenue was 8.20 per cent lower than in Q4FY26, despite growing 13.10 per cent year-on-year (y-o-y).

Diversification Is The Key

NSE’s growth story is not restricted to transaction charges. Its Nifty franchise has become a valuable asset, with Nifty-linked passive assets reaching Rs 8.95 trillion. Data-feed revenue grew 40.60 per cent y-o-y in Q1FY27, highlighting the potential of higher-margin businesses, such as market data, index licensing, and technology services.

India’s relatively low investor penetration also provides a long-term opportunity. Investors account for 13.45 per cent of adults, while India’s market capitalisation-to-gross domestic product (GDP) ratio of 119 per cent remains below the US level of 224 per cent. Rising financial participation could support sustained growth in market activity.

NSE also facilitated 108 mainboard IPOs and Rs 20.33 trillion of fund mobilisation in FY26. Its GIFT City operations provide another avenue for expanding international participation.

Concentration Concern

Concentration remains a concern. The top 10 trading members contributed 47 per cent of its Q1 FY27 revenue. Employee costs also rose 17.50 per cent in FY26 even as revenue declined 3.10 per cent. Investment income was equivalent to 19.50 per cent of trailing-12-month normalised profit before tax, adding sensitivity to the interest-rate environment.

Overall, NSE combines dominant market share, exceptional margins, a debt-free balance sheet, and valuable non-trading franchises. But its dependence on derivatives, regulatory changes and potential market-share shifts remain important risks. 

For investors applying for the  IPO, the key consideration is whether NSE can use its existing scale to diversify its revenue base while maintaining its competitive position as India’s capital markets continue to expand.
