The Union Cabinet has approved the sale of a 60.72 per cent stake in IDBI Bank to a subsidiary of Fairfax Financial Holdings for Rs 52,877.07 crore, giving the Canadian investor management control of the lender. The transaction, in the works since 2021, is expected to be completed before the end of the current financial year.

The approved buyer is 10955230 Canada Inc, a wholly owned entity of Fairfax Financial Holdings. The Government of India will sell 30.48 per cent of its stake and Life Insurance Corporation of India (LIC) will sell 30.24 per cent. The Centre and LIC will together retain a 34 per cent holding in IDBI Bank after the sale.

The Cabinet’s decision clears a major step in the strategic sale, but the ownership transfer is not immediate. The share purchase agreement is expected to be signed before the end of 2026, with the transaction subject to remaining regulatory and procedural steps. Fairfax’s capital invested in the bank will be locked in for three years, according to the government’s announcement.

What The Sale Means For The Bank

IDBI Bank’s ownership structure shifted in 2019, when it was reclassified as a private sector bank after LIC became its promoter. Before the proposed sale, LIC held 49.24 per cent, and the Centre held 45.48 per cent, according to a recent report by Moneycontrol.

Together, they owned close to 95 per cent of the lender. The new arrangement will bring a private strategic investor into the controlling position, while leaving the government and LIC as minority shareholders.

The winning bid is Rs 81 per share, above the benchmark price of Rs 75.99 used to evaluate eligible bids. The government has described the deal as a strategic restructuring, saying it will bring in capital and support the bank’s ability to finance entrepreneurs and businesses. IDBI Bank will retain its existing name for at least three years after completion.

For depositors, the key distinction is timing: Cabinet approval does not hand over control overnight. The bank remains under its current ownership structure until the sale is completed.

Open Offer And Next Steps

Fairfax will also have to make an open offer to IDBI Bank’s minority shareholders. The offer price, size and timetable will be set out in formal disclosures. Retail investors should rely on those filings to decide whether to tender shares, rather than assume that the Rs 81 acquisition price will automatically apply to the open offer.

The process began in 2021, with the government and LIC inviting expressions of interest in 2022. It later faced delays as earlier bids did not meet the government’s valuation expectations. Revised bids were submitted this year, and the Cabinet’s approval now places Fairfax at the centre of the bank’s next phase.

A separate issue concerns Fairfax’s existing investment in CSB Bank. The investor will have to either merge CSB Bank with IDBI Bank or exit its investment within two years, under conditions linked to the transaction. LIC, meanwhile, will be required to reduce its stake in IDBI Bank to 15 per cent within two years to meet Reserve Bank of India norms.

For now, the Cabinet’s approval marks an important ownership change, while completion depends on the remaining formalities. Until the transaction closes, the Centre and LIC continue to hold their current stakes, and Fairfax has not yet taken operational control.
