Investors are eagerly awaiting the launch of the National Stock Exchange's (NSE) initial public offering (IPO). Amid the buzz around the anticipated public issue, the exchange has announced the valuation at which it is planning to conduct its public issue.
According to a report by the Economic Times, which cited sources privy to the matter, the exchange is planning to conduct its public issue at a valuation of Rs 5.26 lakh crore or USD 55 billion.
The report also said that the exchange has been marketing its shares at Rs 2,000 to Rs 2,100 each during discussions with potential investors. Notably, the bulk of the exchange’s global pre-IPO roadshows have concluded. However, investor meetings in the Middle East are yet to be finished.
NSE has also hosted meetings in cities such as Boston, New York, San Francisco, London, Singapore, and Hong Kong. So far, 120 major global investors have participated, including BlackRock Inc, Capital Group, GQG Partners, Janus Henderson Group Plc, and Allspring Global Investments. However, sources privy to the matter said that as discussions are still active, the deal parameters can still undergo changes.
Earlier, it was anticipated that the exchange would receive approval for its draft prospectus from the Securities and Exchange Board of India (Sebi) by the beginning of August 2026. However, that schedule is reportedly experiencing a three-week delay following changes to the list of selling shareholders, notably the addition of SBI Capital Markets.
Updates to the offer documents necessitate a 21-day window for public feedback. As a result, the public issue is now expected to launch in the second half of September, according to the report. Notably, the exchange submitted its draft prospectus in June for an offering consisting entirely of an offer for sale.
NSE’s journey towards the primary market has spanned more than a decade. In 2015, the NSE co-location controversy emerged, wherein allegations were made that certain brokers received preferential server access. Following news of the controversy, the exchange submitted its initial Draft Red Herring Prospectus in December 2016. However, by May 2017, the market watchdog halted the IPO plans to conduct regulatory investigations. Following the probe, the regulator penalised the exchange over the co-location matter in 2019.
Later in 2023, a tribunal ruled out fraud, but the public offering remained paused. By 2025, the market regulator signalled that no obstacles remained for the listing. Finally, in 2026, the exchange received a no-objection certificate in January and filed a new draft prospectus in June.
Notably, the impending launch of the public issue arrives at a time when the primary market is witnessing a revival in investor interest after a slight cooling in overall market sentiment seen in early 2026.
As investors return to the primary market, the pipeline for mega issues also remains robust with the anticipated opening of other large issues, such as the Jio Platforms IPO. Given the targeted valuation, NSE’s IPO is on track to become one of the largest public issues in Indian history, joining the ranks of Hyundai Motor India and Life Insurance Corporation of India.
